Service Agreements

Specific services are governed by individual service agreements, proposals, or statements of work (SOW) entered into between you and Efficio Virtual. In the event of any conflict between these Terms and a specific service agreement, the terms of the service agreement shall prevail with respect to that specific service.

You agree to use our website only for lawful purposes and in a manner that does not infringe upon the rights of others or restrict or inhibit their use and enjoyment of the website. You are solely responsible for all activities conducted through your account or in connection with your use of our services.

Prohibited Activities

Your Content & License Grant

When you submit content, materials, or data to us in connection with our services (such as text, images, logos, or brand assets for campaign purposes), you grant Efficio Virtual a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and display such content solely for the purpose of providing the agreed-upon services to you.

Limited License to Use Our Website

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our website for your personal or internal business purposes. This license does not include any right to resell or commercially exploit our website or its contents, nor any right to make derivative works.

Payment terms for our services are outlined in the individual service agreement, proposal, or invoice provided to you. By engaging our services, you agree to the payment terms specified in those documents.

General Payment Policies

• Invoicing: Invoices are issued according to the schedule specified in your service agreement (monthly, milestone-based, or upfront)
• Payment Due: Payments are due within 14 days of the invoice date unless otherwise agreed in writing
• Late Payments: Overdue invoices may incur a late fee of 1.5% per month on the outstanding balance
• Accepted Methods: We accept payments via bank transfer, credit card, and other methods specified at checkout or in your agreement
• Currency: All fees are quoted and billed in US Dollars (USD) unless otherwise agreed
• Taxes: You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities associated with the services

Refund Policy

Due to the nature of digital marketing services, all fees paid are generally non-refundable once work has commenced. Refund requests for services not yet commenced will be reviewed on a case-by-case basis. Setup fees, subscription fees, and third-party advertising spend are non-refundable under any circumstances.

Price Changes

We reserve the right to modify our service pricing at any time. For existing clients, price changes will be communicated at least 30 days in advance and will apply to new invoicing periods following the notice period.

In the course of providing our services, both parties may exchange confidential and proprietary information. Each party agrees to protect the other's confidential information with the same degree of care it uses to protect its own confidential information, but no less than reasonable care.

What Constitutes Confidential Information

• Business strategies, marketing plans, and campaign performance data
• Customer lists, pricing structures, and financial information
• Proprietary methodologies, tools, and processes
• Any information marked as "Confidential" or which a reasonable person would understand to be confidential given the nature and circumstances of disclosure

Exceptions

Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no breach of this agreement; (b) was rightfully known to the receiving party before disclosure; (c) is independently developed by the receiving party; or (d) is required to be disclosed by law or court order, provided the disclosing party is given reasonable prior notice.

Our website and services are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Efficio Virtual expressly disclaims all warranties of any kind, whether express, implied, statutory, or otherwise.

No Guarantee of Results

Digital marketing results vary significantly based on numerous factors including, but not limited to, industry competition, market conditions, budget, client responsiveness, and algorithm changes by third-party platforms (Google, Meta, etc.). We do not guarantee specific outcomes such as:

• Specific search engine rankings or position improvements
• Specific levels of website traffic, leads, or conversions
• Specific return on ad spend (ROAS) or revenue growth
• Approval or performance of advertising campaigns on third-party platforms

Third-Party Services

We are not responsible for the performance, availability, policies, or practices of third-party platforms (including Google, Meta, LinkedIn, and others) that may affect the delivery or results of our services. Changes to third-party platform algorithms, policies, or terms of service are beyond our control.

To the maximum extent permitted by applicable law, Efficio Virtual, its officers, directors, employees, agents, suppliers, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

• Loss of profits, revenue, data, goodwill, or business opportunities
• Business interruption or loss of business information
• Cost of procurement of substitute services
• Any damages resulting from unauthorized access to or alteration of your data
• Any damages arising from your use of or inability to use our website or services

Indemnification

You agree to indemnify, defend, and hold harmless Efficio Virtual and its officers, directors, employees, agents, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of our website or services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit to us in connection with our services.

Third-Party Platforms

Our services may involve managing your accounts or campaigns on third-party platforms such as Google Ads, Meta Business Suite, LinkedIn Campaign Manager, and others. Your use of these platforms is governed by their respective terms of service and privacy policies. Efficio Virtual is not responsible for any changes these platforms make to their features, policies, pricing, or terms that may affect your campaigns.

Embedded Content

Our website may include embedded content (such as videos, social media feeds, or maps). Embedded content from other websites behaves in exactly the same way as if you visited those websites directly, and those websites may collect data about you and use cookies.

Either party may terminate a service engagement in accordance with the terms outlined in the applicable service agreement. The following general termination provisions apply where no specific agreement exists:

Termination by You

• You may terminate ongoing services by providing written notice of at least 30 days prior to the desired termination date
• You remain responsible for payment of all fees incurred up to the effective termination date
• Prepaid fees for services not yet rendered may be refunded at our discretion, minus any costs already incurred

Termination by Efficio Virtual

• We may terminate services immediately if you breach any material term of these Terms or your service agreement
• We may terminate services with 30 days' notice for any reason at our sole discretion
• We may suspend services immediately upon non-payment without liability to you

Effect of Termination

Upon termination, we will provide you with access to your data and any deliverables completed to date. We will also facilitate the transfer of any third-party accounts (Google Ads, social media accounts, etc.) that are registered in your name. Provisions of these Terms that by their nature should survive termination will remain in effect.

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law provisions.

Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of our services, the parties agree to first attempt resolution through good-faith negotiation. If the dispute cannot be resolved informally within 30 days, the following process applies:

• Mediation: The parties agree to submit the dispute to non-binding mediation before a mutually agreed-upon mediator in Harris County, Texas
• Arbitration: If mediation fails, disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), conducted in Houston, Texas
• Jurisdiction: For matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Harris County, Texas

Statute of Limitations

Any claim arising out of or related to these Terms or our services must be filed within one (1) year after the cause of action arises, or such claim is permanently waived and barred.

Your privacy is important to us. The collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference and forms part of this agreement.

By agreeing to these Terms, you also acknowledge and agree to our Privacy Policy. We encourage you to read our Privacy Policy carefully to understand how we collect, use, and safeguard your personal information, and your rights regarding that information.

Entire Agreement

These Terms, together with any applicable service agreement, proposal, or statement of work, constitute the entire agreement between you and Efficio Virtual regarding the subject matter hereof and supersede all prior and contemporaneous agreements, representations, and understandings.

Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

Waiver

No failure or delay by Efficio Virtual in exercising any right under these Terms shall constitute a waiver of that right. A waiver of any default is not a waiver of any subsequent default.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

Force Majeure

Neither party shall be liable for any delay or failure to perform its obligations under these Terms due to causes beyond its reasonable control, including acts of God, natural disasters, pandemic, government action, internet outages, or third-party platform failures.
